Terms of Use
These Terms of Use govern access to Dhimson Learn, a platform operated by Dhimson Tradespot Private Limited, CIN , with registered office at HD-497, Sector 16 B, Noida, Uttar Pradesh, India (201301) (“Dhimson”, “we”, “us” or “our”).
1. Acceptance and eligibility
By creating an account, accessing a course, making a purchase or using the platform, you agree to these Terms and the policies incorporated by reference. At launch, the platform is available only to individuals aged 18 years or above. Do not create an account for a minor or permit a minor to use your account.
If you use the platform for an organisation, you confirm that you are authorised to bind that organisation for the relevant use.
2. Platform and provider roles
Dhimson operates the technology platform. Courses and tutoring may be provided by Dhimson Tradespot Private Limited; an independent tutor; or an external company or content partner. The course page and checkout identify the course provider and seller for the transaction. Where a third party provides a course, that provider is responsible for the content and teaching commitments assigned to it, and Dhimson is responsible for the platform functions and contractual commitments assigned to Dhimson. Nothing in these Terms makes an independent provider our employee, agent, partner or representative unless a separate written agreement expressly states otherwise.
3. Accounts
You must provide accurate information, keep it current and protect your password and one-time codes. You are responsible for activity conducted through your account to the extent permitted by law, except activity caused by Dhimson’s security failure or another matter for which you are not responsible.
Notify info@dhimson.com promptly if you suspect unauthorised access. We may require verification before changing sensitive account information. Do not share a learner, tutor or partner account.
4. Course information and enrolment
Course descriptions, schedules, prices, access periods, prerequisites, certificate status and provider details may differ. Review the applicable page before enrolling. An order is accepted when Dhimson or the identified seller sends confirmation and, where payment is required, payment is successfully confirmed.
We may correct an obvious typographical or technical error before accepting an order. If an error is discovered after payment, we will contact you and offer a lawful remedy rather than unilaterally charging a different amount.
5. Fees, taxes and payment
The final amount payable is shown before confirmation. Taxes and mandatory charges are disclosed according to the applicable transaction. Payments may be processed by Razorpay and other enabled gateways under its own terms.
You must use a payment method you are authorised to use. Refunds and cancellations are governed by the Refund and Cancellation Policy and mandatory law.
6. Sponsored and free access
A sponsor may fund all or part of a course fee. Eligibility and sponsor identity are displayed. Free or sponsored access does not imply government approval, employment, a scholarship, reimbursement of expenses or a continuing right to future courses unless expressly stated.
7. Access licence
Subject to payment or valid enrolment and compliance with these Terms, the provider grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access the course materials during the stated access period for your own learning.
You may not reproduce, sell, sublicense, publish, scrape, distribute, publicly perform, upload to another service, remove rights notices from, or use the materials to train a competing product or model, except where the provider expressly permits it or law provides otherwise. “Lifetime access” is not promised unless an exact defined term is stated.
8. Learner conduct
You must not impersonate another person; harass or exploit others; upload unlawful or infringing content; share restricted materials; interfere with security; conduct security testing outside an authorised scope; manipulate reviews or assessments; or use the platform for spam or fraud. See our Community Guidelines.
9. Live sessions and communications
Session dates, attendance, recording and cancellation rules are stated on the booking or course page. A session may be recorded only where the course page or session notice explains the recording and appropriate notice or consent is provided.
10. Assessments and academic integrity
You must submit your own work unless collaboration is allowed. Prohibited conduct includes plagiarism, impersonation and answer sharing. We may invalidate results or certificates after a fair review.
11. Certificates
A course page states whether a certificate is offered, who issues it and what requirements apply. A completion certificate ordinarily records completion or participation. It is not a degree, diploma, statutory licence, government recognition or promise of employment unless expressly stated with supporting details.
12. Tutors and partner providers
Independent providers must comply with separate agreements. Verification labels are limited to the checks expressly described. Report concerns through our complaint channels.
13. User submissions
You retain ownership of original content you submit. You grant Dhimson a limited licence to host, store, reproduce, format and display that content only as reasonably necessary to operate the requested platform service, administer a dispute, or meet legal obligations. Public promotional reuse requires separate permission unless you publish under stated rules.
14. Intellectual property and notices
Dhimson and its licensors own their respective platform materials. A rights holder may submit a notice under the Intellectual Property and Content Notice process.
15. Reviews
Reviews must reflect genuine experience. Incentives must be disclosed and must not depend on a positive rating. We may moderate reviews for privacy, unlawful content, conflicts, abuse or irrelevance but not merely because they are negative.
16. Availability and changes
We aim to provide reliable access but do not promise uninterrupted operation. We will notify affected learners of material changes to a paid service and provide an appropriate remedy where the change substantially affects the purchase.
17. Suspension and termination
We may restrict access where reasonably necessary for security, fraud prevention, legal compliance, serious misconduct or material breach. We will not use termination to avoid a valid refund or consumer remedy. You may stop using the platform and request account deletion, subject to lawful retention.
18. Third-party services
The platform may link to payment, video, software or other third-party services. Their terms and privacy practices may apply. A link does not by itself mean endorsement.
19. Educational and professional disclaimer
Courses are educational. Dhimson and providers do not guarantee employment, income, promotion, admission, ranking, examination success or professional registration. General educational content is not a substitute for personalised advice from an appropriately qualified professional.
20. Responsibility and liability
Each party remains responsible for loss caused by its breach, negligence, fraud or other legally attributable conduct. Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited, including mandatory consumer rights.
To the extent legally permitted, Dhimson is not responsible for indirect or remote loss that was not reasonably foreseeable when the contract was made. Any monetary limitation must be reviewed by counsel for the actual business model.
21. Indemnity for business providers
Tutors and partners may be required under separate agreements to compensate Dhimson for third-party claims arising from their infringement, unlawful content or serious breach, subject to fair allocation of responsibility. This clause does not impose a broad professional indemnity on ordinary learners.
22. Privacy
The Privacy Notice explains how Dhimson handles personal data.
23. Complaints and grievances
Contact info@dhimson.com for support. Formal grievances may be submitted to info@dhimson.com under the Grievance Redressal process.
24. Changes to these Terms
We may update these Terms prospectively to reflect service, legal or security changes. The updated version will show a revision date. We will provide reasonable direct notice of a material change affecting existing paid access.
25. Governing law and dispute forum
These Terms are governed by Indian law. Subject to mandatory consumer and other statutory forums, courts at Noida, Uttar Pradesh, India may have jurisdiction. This clause does not require a consumer to waive a forum or remedy available under applicable law.
26. General
If a provision is unenforceable, it will be applied to the lawful extent and the remainder will continue. Delay in enforcing a right is not a waiver.
